Terms of Service for Netzero

These Terms of Service ("Terms", "Agreement") govern your use of the Netzero mobile and web applications, developer API, and related services ("App"), operated by Netzero Labs, Inc. ("Netzero", "we", "us", "our"). By using the App you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility and account

• You must be legally able to form a binding contract where you live.
• You sign in with your Tesla account. You may only connect energy systems, vehicles, chargers, and utility accounts that you own or are authorized to manage.
• You must maintain accurate account information and keep your credentials, devices, and API tokens secure.
• You are responsible for all activity that occurs under your account.

2. License and acceptable use

We grant you a limited, nonexclusive, nontransferable, revocable license to use the App for personal or commercial purposes, subject to your subscription plan and these Terms. You will not:

• access the App by automated means other than documented APIs, scrape, or attempt to bypass security or usage limits;
• reverse engineer, decompile, or create derivative works except to the extent allowed by law;
• misuse automations in ways that could damage devices, violate tariffs, grid interconnection agreements, or program rules, or breach third-party terms;
• share accounts or API tokens to give access to people who are not authorized to manage the connected devices;
• use the App for unlawful activity or to infringe intellectual property or privacy rights.

3. Device integrations and third-party services

The App relies on third-party services and device makers to function, including energy device and vehicle APIs (such as Tesla and Enode), energy suppliers, payment processors, weather and solar data providers, and AI services such as Anthropic (Claude). By using the App you authorize Netzero Labs, Inc. to connect to these services, retrieve and process data, and act on your configured automations as described in the Privacy Policy. Access may require you to accept third-party terms. Service changes, outages, or rate limits at those providers may affect App features.

Netzero is not affiliated with, endorsed by, or sponsored by Tesla, Inc. or any other device maker or energy supplier. Product names are trademarks of their respective owners.

4. Device control and automations

• When you use controls or automations in the App, Netzero sends commands to your devices on your behalf, for example to change battery backup reserve, operating mode, grid charging or export, or vehicle and charger charging. You are responsible for the automations you configure.
• Commands depend on your devices, their connectivity, and third-party services. They may be delayed, fail, be rejected, or be overridden by your device maker, utility, energy supplier, or a virtual power plant program. Always confirm that important changes took effect.
• Pairing the App with your Powerwall or adding a vehicle key lets Netzero send commands to those devices. You can remove the pairing or key at any time through your device maker's app.
• Features such as grid charging, grid export, and time-of-use scheduling may be subject to your utility's rules, tariff, interconnection agreement, or incentive program. You are responsible for making sure your use complies with them.

5. Subscriptions and billing

• Certain features require a paid subscription. Plans may be monthly, annual, or one-time, and prices may vary by region and currency.
• New accounts may receive a free trial of paid features. The trial ends automatically and does not convert to a paid subscription. If you subscribe during the trial, billing starts when you subscribe.
• Subscription plans may limit usage based on the number of energy systems, devices, homes, or sites linked to an account. Your subscription must cover the total number of systems under management.
• Billing, renewals, plan changes, cancellations, refunds, and payment failures are handled by the store or payment provider you used (for example, Apple App Store, Google Play, or Stripe). Their terms and policies apply, and the timing of plan changes and prorations follows those providers' rules.
• Subscriptions renew automatically unless you cancel at least 24 hours before the end of the current period.
• We may change pricing or plan features. We will give notice where required. Price changes apply from your next renewal. Continued use after changes means acceptance.

6. User data and privacy

Our collection and use of data is described in the Privacy Policy. By using the App you consent to those practices. You are responsible for obtaining any consents from other household members or device owners where required.

7. Developer API

• Access to the developer API may require a paid subscription and is subject to rate limits and documentation we publish.
• Keep your API token confidential. Anyone with your token can read and change the settings it allows. You can revoke and regenerate it in the App.
• We may change, limit, or revoke API access, for example to protect the service or third-party providers.

8. Service availability and modifications

• The App may be updated, changed, or discontinued at any time. Features may vary by platform, region, device, or supplier.
• Planned or unplanned downtime may occur. Data access, notifications, and automations may be delayed or unavailable.
• Beta or experimental features are provided for testing only and may be withdrawn without notice.

9. Safety and compliance

• You are responsible for the safe operation of your energy devices. Verify that automations are suitable for your installation, tariffs, and regulations.
• The App does not guarantee utility savings, battery health outcomes, or compliance with utility or warranty rules.
• Estimates, forecasts, and analyses in the App (such as solar production estimates, battery health, savings, and tariff costs) are for information only and may be inaccurate.
• Use of the App does not replace manufacturer recommendations or licensed electrician advice. Do not rely on the App for life-safety or medical equipment.

10. Intellectual property

The App, documentation, and all content are owned by Netzero Labs, Inc. or its licensors and are protected by law. Except as allowed in section 2 you may not copy, modify, distribute, or create derivative works without written permission. Netzero and related marks are trademarks of Netzero Labs, Inc.

11. Feedback

If you provide feedback or suggestions, you grant Netzero Labs, Inc. a worldwide, royalty-free, perpetual license to use that input for any purpose without obligation to you.

12. Disclaimers

The App is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Netzero Labs, Inc. disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and noninfringement. Energy forecasts, tariffs, device telemetry, and third-party data may be inaccurate or delayed.

13. Limitation of liability

To the fullest extent permitted by law, Netzero Labs, Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, energy costs, or device wear, arising out of or related to your use of the App, including commands sent or not sent to your devices, even if advised of the possibility. Netzero Labs, Inc.'s total liability for any claim will not exceed the greater of (a) the amount you paid to Netzero Labs, Inc. for the App in the 12 months before the event giving rise to the claim, or (b) the amount you paid to Netzero Labs, Inc. for any one-time or non-recurring fee for the App. Nothing in these Terms excludes or limits liability or rights that cannot be excluded or limited under the law that applies to you, including mandatory consumer protection rights in your country of residence.

14. Indemnification

You will defend, indemnify, and hold harmless Netzero Labs, Inc. and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, costs, and expenses arising from your use of the App, your breach of these Terms, or your violation of law or third-party rights.

15. Suspension and termination

• You may stop using the App and delete your account at any time in the App's settings. Deleting your account does not cancel a subscription purchased through Apple, Google, or Stripe; cancel it with that provider.
• We may suspend or terminate access if you violate these Terms, misuse the App, or if required by law or third-party providers.
• Upon termination your license ends and you must stop using the App. Sections 10 through 20 survive termination.

16. Export and sanctions compliance

You will comply with all United States export control and sanctions laws. You represent that you are not located in, under control of, or a national or resident of any embargoed country or denied party list.

17. Changes to these Terms

We may update these Terms from time to time. The latest version will be posted at Terms of Service with the new effective date. Continued use after changes means acceptance.

18. Dispute resolution

If you have a dispute with us, please first contact info@netzero.energy and give us 30 days to try to resolve it informally.

19. Governing law and venue

These Terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict of law rules. Any dispute that is not resolved informally will be brought in the state or federal courts located in San Francisco County, California, and you and Netzero Labs, Inc. consent to that jurisdiction and venue. If you are a consumer, this does not deprive you of the protection of mandatory laws of your country of residence or your right to bring a claim in the courts there.

20. Miscellaneous

• Severability: if any provision is unenforceable, the remainder stays in effect.
• No waiver: failure to enforce a provision is not a waiver.
• Assignment: you may not assign this Agreement without our consent. We may assign it.
• Entire agreement: these Terms and the Privacy Policy are the entire agreement regarding the App.
• App stores: if you downloaded the App from the Apple App Store or Google Play, these Terms are between you and Netzero Labs, Inc., not the store operator, which has no obligation to provide support for the App. Apple and its subsidiaries are third-party beneficiaries of these Terms for users of the iOS App.
